1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Zap application, website (including app.tryzap.net), and related services (the "Service"). By creating an account or using the Service, you agree to these Terms, the Risk Disclosures, and the Privacy Policy, which are incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, a U.S. resident [CONFIRM eligible jurisdictions], able to form a binding contract, and not barred from using the Service under applicable law. You must have your own valid Robinhood account with access to the Robinhood Agentic program and authority over the wallet you connect. You are responsible for meeting your broker's eligibility requirements; we do not control them.

3. Accounts and Security

You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. Authentication and account data are managed through our identity provider (Supabase). Notify us promptly of any unauthorized use. We may suspend accounts to protect users, the Service, or third parties.

4. The Service; What Zap Is and Is Not

Zap is software that, based on the strategy, risk level, and autonomy mode you select, proposes and/or executes U.S. equities trades within a ring-fenced wallet you connect through Robinhood. The Service is equities-only; it does not trade options, crypto, or other instruments. Zap is not a broker-dealer, is not an investment adviser, and does not provide investment, legal, or tax advice (see Section 10). We are not your fiduciary unless and until separately registered and engaged as described in the Risk Disclosures.

5. Trading Authorization and the Ring-Fenced Wallet

5.1 Authorization. By connecting a wallet and enabling a trading mode, you authorize Zap to submit buy and sell orders for U.S. equities in that dedicated Robinhood Agentic wallet on your behalf, subject to the guardrails and the mode you select.

5.2 Scope and limits. This authorization is limited to the connected wallet only. Zap cannot trade your other holdings, cannot withdraw or transfer funds or securities to you or any third party, and cannot change your broker settings beyond placing trades in the connected wallet.

5.3 Modes. Semi-automatic (default) requires your one-tap approval of each proposed trade; proposals expire if not acted upon. Fully autonomous executes trades without per-trade approval and is available only after eligibility verification, our enabling the feature for your account, and your separate recorded acknowledgment.

5.4 Guardrails. All orders pass through backend-enforced limits (per-trade size, per-symbol concentration, daily trade cap, daily-loss circuit breaker). These mitigate but do not eliminate risk. We may adjust, pause, or globally halt trading ("kill switch") for safety, compliance, or operational reasons.

5.5 Broker relationship. Your brokerage relationship is solely between you and Robinhood and is governed by your agreement with Robinhood. We are not a party to it and are not responsible for your broker's acts, omissions, execution, outages, or decisions.

5.6 Revocation. You may revoke this authorization at any time by switching to semi-automatic, pausing the agent, or disconnecting the wallet, subject to orders already submitted to your broker, which may not be cancelable.

6. Subscription, Billing, and Payments (Stripe)

6.1 Plan and price. The Service is offered as a single plan billed monthly ($50/mo) or annually ($450/yr) [confirm against live Stripe prices], plus applicable taxes. Prices may change prospectively with notice.

6.2 Payment processor. Billing is handled by Stripe. You authorize us, through Stripe, to charge your payment method on a recurring basis until you cancel. You agree to Stripe's terms for payment processing.

6.3 Auto-renewal and cancellation. Subscriptions renew automatically for the same interval until canceled. You may cancel anytime through the billing portal; cancellation takes effect at the end of the current paid period.

6.4 Failed payments / past due. If a payment fails and your subscription becomes past due, access to trading and the dashboard may be suspended until payment is resolved. We are not liable for any trading consequences of suspension for non-payment.

6.5 Refunds. Except where required by law, fees are non-refundable [confirm refund policy with counsel]. Subscription fees are for access to the Service and are independent of any trading outcome.

6.6 No performance fees. The subscription fee is not a performance, advisory, or asset-based fee and is not tied to gains or losses in your wallet [confirm consistent with chosen regulatory posture].

7. Acceptable Use

You agree not to: (a) use the Service for unlawful purposes, market manipulation, insider trading, or any prohibited trading practice; (b) connect a wallet or account you are not authorized to control; (c) attempt to bypass, disable, or tamper with guardrails, the circuit breaker, rate limits, or security controls; (d) reverse engineer, scrape, or overload the Service; (e) share, resell, or provide access to the Service to others; or (f) use the Service in violation of your broker's or any third party's terms. We may suspend or terminate accounts that violate this section.

8. Third-Party Services

The Service depends on third parties including Robinhood, Anthropic, Stripe, Supabase, and our hosting provider. Your use of those services may be subject to their terms. We are not responsible for third-party acts, outages, or changes, including changes to or termination of the Robinhood Agentic program.

9. Intellectual Property

We and our licensors own the Service and all related IP. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. You retain ownership of your account data; you grant us a license to process it to operate the Service (see Privacy Policy).

10. No Advice; Assumption of Risk

The Service does not constitute investment, financial, legal, or tax advice and is not a recommendation or solicitation. You are solely responsible for your trading decisions, your chosen configuration, and the outcomes. You acknowledge that trading involves risk of loss and that you may lose money, as detailed in the Risk Disclosures, which you accept.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant any trading result, any AI output, or that the Service, guardrails, or circuit breaker will operate without interruption or error.

12. Limitation of Liability

To the maximum extent permitted by law, Zap and its affiliates, officers, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, or trading or investment losses, arising out of or relating to the Service. Our total aggregate liability for all claims is limited to the greater of the subscription fees you paid in the [twelve (12)] months before the event giving rise to the claim or [$100]. 13. Indemnification

You will indemnify and hold harmless Zap from claims and losses arising out of your use of the Service, your trading activity, your violation of these Terms, or your violation of any law or third-party right [scope with counsel].

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access for breach of these Terms, non-payment, legal or compliance reasons, or to protect the Service or others. On termination, your trading authorization ends and we will stop placing new trades for you; obligations that by nature survive (e.g., Sections 10–13, 15) survive termination.

15. Dispute Resolution and Arbitration [PLACEHOLDER — counsel to finalize]
